Example Software License Agreement
The following is our standard license agreement. This may be varied for products from other vendors, or products which include additional types of content. A license will be displayed when installing the software, and it takes precedence over the information on this page.
"Our", "Us" and "We" refer to Devious Machines and/or Devious Machines's licensor(s), partner(s) and supplier(s).
"Software" means the plug-in, application, audio content, and or other software and the related documentation.
The Software is licensed to you by Us. You do not own the Software, but may have a license to use it from us.
You acknowledge that that no title to the intellectual property in the Software is transferred to you and that full title and ownership rights to the Software remain Our property.
If the Software has a "demo-mode" you are permitted to use the software without obtaining a license key for the duration of the "demo-mode" only, which is 14 days from the first execution of the software on your system. At the end of the demo period you must buy the software or delete it from your system.
Under this license you are permitted to install the software on a maximum of three computers for personal use, or use in your business, provided that only one copy of the software is in use at any one time.
You must not share the license key provided with anyone else.
Under this license, you may use The Software in your own music and audio compositions. This license does not cover The Software for use in the creation of sample packs, software applications (except in music or audio compositions used as a video game soundtrack), synthesisers, or musical instruments. Where The Software contains or consists of audio recordings ("samples"), you acknowledge that Devious Machines owns the copyright to all such recordings, and that these recordings may not be reproduced or distributed in any form, other than as part of musical and audio compositions as described above. Should you require clarification of these terms, or a different type of license, please write to Devious Machines via our website.
If we produce Minor upgrades and bug fixes for this Software we may provide them without further charge to licensed users of the product. These upgrades and bug fixes may be provided under different or further agreements.
Major upgrades to the software are not provided free-of-charge as part of this license. The difference between a Minor upgrade and Major upgrade will be determined by Us.
The Software contains copyrighted material, trade secrets, and other proprietary material. In order to protect them, and except as expressly permitted by applicable law, you may not decompile, reverse engineer or disassemble the Software; copy, modify, network, or distribute the Software; or rent, lease, loan, the Software, or create derivative works based upon the Software or related documentation in whole or in part other than as expressly permitted by applicable legislation.
You may not transmit the Software from one computer to another or over a network, except as is necessary to install the Software onto a host computer for use which is compliant with this license agreement.
This Licence is effective until terminated. You may terminate this Licence at any time by destroying the Software and related documentation. This Licence will terminate immediately without notice from Devious Machines if you fail to comply with any provision of this Licence. Upon termination you must destroy the Software and related documentation. Upon termination you shall remain subject to the provisions, restrictions, and exclusions in this Licence Agreement and shall have no right to any refund of any amounts paid for the Software. No termination shall release you from liability for any breach of this Licence Agreement.
We provide the software "as is," and you use the software at your own risk. We make no warranties as to performance, merchantability, fitness for a particular purpose, or any other warranties whether expressed or implied. No oral or written communication from or information provided by Us shall create a warranty. Furthermore we do not warrant that defects in the software will be corrected.
Limitation on Damages
Under no circumstances shall We be liable for direct, indirect, special, incidental, or consequential damages resulting from the use, misuse, or inability to use this software, even if We have been advised of the possibility of such damages.
In no event shall Our total liability to you for all damages, losses, and causes of action (whether in contract, tort including negligence, or otherwise) exceed the amount paid by you for the Software.
Controlling Law and Severability
This Licence shall be governed by and construed in accordance with the laws of England. If for any reason a court of competent jurisdiction finds any provision of this Licence, or portion thereof, to be unenforceable, that provision of the Licence shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Licence shall continue in full force and effect.
You acknowledge that you have read this Licence Agreement and understand it, and agree to be bound by the terms and conditions. You also agree that the Licence Agreement is the complete and exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or written, and any other communications between the parties relating to the subject matter of the Licence Agreement. No amendment to or modification of this Licence will be binding unless in writing and signed by a duly authorised representative of Devious Machines.
Unless otherwise specified the following licence applies to both purchases and free samples provided by Devious Machines.
The samples remains our (Devious Machines) property, or the property of our subcontractor and licensors. We provide you with a licence to use them within musical compositions, soundtracks or similar works in combination with other sounds.
You may not redistribute, rent, publish or share the sounds with others (except as part of a composition), resell them or use them in competing products such as sample packs. Nor may you release a composition constructed to make it easy for others to recover the samples.
You do not have the rights to use the name of the sound pack nor the name of any of the artists who contributed to the sound pack in your work.
